$MODEL ("Model Network", "we") operates an inference gateway that provides access to third-party and self-hosted AI models and agents through a single OpenAI-compatible API. These Terms govern the website at model-network.xyz, the web application, the API endpoints under /api/public/v1, and any SDK or agent we publish. By connecting a wallet, minting an API key, or calling an endpoint you accept these Terms.

We are an access and routing layer. Requests you submit are routed to model providers on your behalf and returned in a uniform schema. We do not train the models, and we do not warrant any model's output, availability, or fitness for a particular purpose. Model availability, pricing, and context limits change as upstream capacity changes.

We do not create, host, or custody wallets, and we never hold your funds. You connect a wallet you already control. To sign in you sign a one-time, gas-free message proving control of that address; the signature is verified and discarded. We never request a seed phrase or private key, and no employee or support channel will ever ask for one. You are solely responsible for the security of your wallet, your device, and any recovery material.

No deposits, escrow, staking, or transfers of tokens to us are required or accepted for access. Any request to send tokens to an address in order to "activate" access is fraudulent.

You must be at least 18 and legally able to enter contracts. You may not use the service if you are located in, ordinarily resident in, or acting on behalf of a person in a comprehensively sanctioned jurisdiction, or if you appear on an applicable sanctions list. You are responsible for everything that happens under your account and keys, including use by collaborators or automated agents.

Access is determined by the live $MODEL balance held by your connected wallet, read from the public chain state. A minimum holding is required to qualify, and balances above the maximum recognised holding are clamped for tier purposes. Tiers set a usage allowance in USD-denominated metering units per period and a per-minute request limit; current values are published on the pricing page and in the app.

Holding $MODEL is a condition of access, not an investment in Model Network, and confers no equity, dividend, governance right, or claim on revenue. Token price and balances are volatile; if your balance falls below the minimum, API access is suspended until it recovers. We may adjust thresholds, allowances, and limits prospectively.

Keys are shown once and stored only as a hash; we cannot recover a lost key and will only revoke and reissue. Keys inherit the entitlement of the wallet that minted them. Do not embed keys in client-side code, public repositories, or shared environments. You are responsible for all usage authenticated by your keys, including usage after a leak, until the key is revoked in the app.

Each request is metered on input and output tokens at the published per-million-token rate for the selected model and deducted from your period allowance. Allowances reset at the start of each period in UTC and do not roll over. Rate limits are enforced per key. We may throttle, queue, or refuse traffic that threatens platform stability, and we may suspend keys used for resale of raw capacity, credential sharing, or automated allowance evasion.

You retain rights in the prompts and data you submit and, as between you and us, in the outputs you receive. You grant us only the limited right to process and transmit that content to fulfil your request and to keep the metering record. Outputs may be inaccurate or offensive; you are responsible for reviewing them before use, and you must not present them as professional medical, legal, or financial advice.

Agents run behind a policy engine with spend caps, runtime caps, tool-call limits, and allow-listed domains. Guardrails reduce risk but do not eliminate it. You remain responsible for anything an agent does under your key, including external calls you authorise, and you must not disable or attempt to circumvent guardrails.

Your use must comply with our Acceptable Use Policy, which forms part of these Terms, and with the usage policies of the underlying model providers. Verified violations lead to key revocation and, where necessary, permanent suspension.

The service is delivered on a best-effort basis with no fixed uptime SLA. Upstream model outages, chain outages, and maintenance may interrupt service. We may pause endpoints or the whole gateway where we reasonably believe there is a security incident or a legal requirement to do so, and we will restore service as soon as it is safe.

The service is provided "as is" and "as available", without warranties of any kind to the maximum extent permitted by law. We are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost data, token price movements, or decisions made on the basis of model output. Our aggregate liability for any claim is limited to USD 100.

You may stop using the service at any time by revoking your keys and disconnecting your wallet; nothing is held for you to withdraw. We may suspend or terminate access for breach of these Terms, suspected fraud, or legal requirement. Clauses covering acceptable use, liability, and dispute resolution survive termination.

We may update these Terms as the platform matures. Material changes will be announced in the app and reflected in the "last updated" date above. Continued use after the effective date constitutes acceptance. This document was last updated on August 2, 2026.
